TERMS OF USE

1. ACCEPTANCE OF TERMS

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old and capable of forming a binding contract.

2. DESCRIPTION OF SERVICE

Prior provides a software platform powered by our proprietary technology that helps users research topics, organize context, and explore possible outcomes. The Service is provided for research and informational purposes only. We do not provide financial, medical, legal, betting, investment, or any other professional advice. All decisions based on information from the Service are yours alone.

3. ACCOUNTS AND ELIGIBILITY

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate information and to update it as needed. We reserve the right to suspend or terminate accounts that violate these Terms.

4. SUBSCRIPTIONS, CREDITS, BILLING, AND CANCELLATION

Access to predictions on the Service is paid. All prices are in United States Dollars (USD) and all purchases are processed by our third-party payment processor. The Service offers the following plans:

• Pay As You Go: no monthly fee. Each credit costs $1.00 and runs one prediction. You may buy credits in any quantity before running a prediction.
• Standard ($29/month): 10 new credits are added to your account each week.
• Max ($99/month): 30 new credits are added to your account each week.
• Ultra ($499/month): unlimited predictions; no credits are needed.

Credits never expire. Unused weekly credits roll over and remain on your account until used. Paid-plan members who exhaust their weekly credits may buy additional credits at any time at $1.00 per credit.

Subscriptions automatically renew for the applicable period unless you cancel before the renewal date. You may cancel your subscription and delete your account at any time through your account settings. If you cancel, you will continue to have access to the paid features until the end of your current subscription period. After that period ends, your subscription will not renew and your access to paid features will stop.

5. REFUND POLICY

All purchases are final. Because the Service provides immediate digital access, we do not offer refunds, partial refunds, or prorated refunds for any subscription period or credit purchase. If a prediction fails due to a technical error on our side before a result is delivered, the credit used for that prediction is returned to your account.

6. ACCEPTABLE USE

You agree not to use the Service to violate any law, infringe intellectual property rights, distribute harmful code, interfere with the Service’s operation, or access data you are not authorized to access. We may suspend or terminate your access for any violation.

7. INTELLECTUAL PROPERTY

The Service, including all software, designs, text, graphics, logos, and underlying technology, is owned by Prior Software Inc. and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes. You may not reverse engineer, copy, modify, distribute, or create derivative works of our proprietary software.

8. DISCLAIMERS

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY RESULTS OR PREDICTIONS WILL BE ACCURATE OR RELIABLE.

PRIOR IS NOT A FINANCIAL, MEDICAL, LEGAL, OR BETTING ADVISOR. NOTHING IN THE SERVICE CONSTITUTES ADVICE IN ANY OF THESE AREAS. THE SERVICE IS INTENDED SOLELY FOR RESEARCH AND INFORMATIONAL PURPOSES, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DECISIONS YOU MAKE.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIOR SOFTWARE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

10. INDEMNIFICATION

You agree to indemnify and hold harmless Prior Software Inc. and its affiliates from any claims, damages, losses, or expenses arising out of your use of the Service or your violation of these Terms.

11. TERMINATION

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or for any other reason. Upon termination, all licenses granted to you will immediately cease.

12. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in the state or federal courts located in Delaware.

13. CHANGES TO TERMS

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms and updating the effective date. Your continued use of the Service after changes constitutes acceptance.
